The Challenge
U.S. venture capital has a narrow set of structural requirements — Delaware C-Corp, clean cap table, GAAP financials, proper board governance. Companies that don't meet these before approaching investors waste months cleaning up structure under deal pressure.
U.S. venture capital firms expect U.S. investor-grade equity structures, standard option pools, and clean SAFE/note conversion. Foreign cap table structures — even well-organized ones — are often a hard stop.
